Common questions
01Do you publish fixed prices for Business Advisory?
No. Fees depend on the decision, document quality, urgency and complexity. Simple questions are scoped tightly; larger investment or system decisions require deeper review.
02Do you implement software or systems?
No. We do not sell software. We help define what the business actually needs before a vendor is selected or a contract is signed.
03Is this legal advice?
Some engagements may include legal or tax input from LTA, but Business Advisory is broader: it helps you understand the business decision before the legal work begins. Formal legal opinions are scoped separately where needed.
04What types of business forms can I register in Georgia?
Most widely used business forms in Georgia are:
- ● Limited Liability Company (its liability is limited to all its assets);
- ● Joint Stock Company (capital of such business is divided into shares of a certain class and quantity; the liability of a joint-stock company is limited to all of its assets);
- ● Individual Entrepreneur (it is not a legal entity and its liability is limited to all assets of the physical person who is registered as an Individual Entrepreneur).
However, we are able also to assist with registration of other business forms, such as:
- ● General Partnership;
- ● Limited Partnership;
- ● Cooperative;
- ● A non-commercial organization (which is NOT a business form), widely used for NGOs and other social platforms can also be registered in Georgia.
05Can I incorporate a business remotely?
Yes, you can. For remote incorporation of the company, we will need a Power of Attorney (PoA) from you.
06What are the procedures and requirements Power of Attorney?
- We provide you with a draft of needed POA;
- You print it out, and sign it in front of the notary;
- Then your signature is notarized;
- Notarized document to be provided for further legalization through Georgian embassy or apostille in your country (if the country from which you issue a PoA is party to Hague Apostille Convention); PLEASE NOTE - legalization and apostille are not needed for documents from CIS countries;
- Once the document is apostilled or legalized, - you send us the document in original form (via mail/express delivery).
07What is an Investment Fund and what Forms does it have?
Investment Fund is a collective investment scheme, which fetches capital from investors, for the benefit of said investors, according to the defined policy of such Fund. Investment Fund needs to be Registered, and licensed properly. The rules on such operations are given in the Law on Investment Funds of Georgia. The rules vary according to what kinds of operations a fund is willing to pursue.
There are two forms of Investment Funds:
● Common Fund (an investment fund carrying out activities as a contractual scheme, without formation of a legal person). Common Fund has to be managed by an asset management company;
● Investment Company (an investment fund carrying out activities as a legal person. It may have an asset management company, which carries out its representative function).
Investment Fund can be two types:
- 1. close-ended investment fund – an investment fund which may not issue units continuously and whose unit-holders do not have the right to request the redemption of their unit (units) prior to the liquidation of the investment fund, unless otherwise provided for by the legislation of Georgia;
- 2. open-ended investment fund – an investment fund which may issue units continuously and whose unit- holders have the right to request the redemption of their unit (units), directly or indirectly, from the assets of the investment fund, in accordance with the procedure provided for in its founding document;
- 3. interval investment fund – an investment fund which may issue units in accordance with the procedure and with the frequency provided for in its founding document, but at least once a year, and whose unit-holders have the right to request the redemption of their unit (units), directly or indirectly, from the assets of the investment fund.
08How can I get Georgian tax residency?
There are couple of ways:
● You may stay in Georgian for any 183 days within 12 months period;
● Obtain tax residency on the basis of being a high net worth individual.
While the first option is straightforward, second one has following requirements:
● An individual has to have either GEL3mln in assets OR GEL200k income per annum for last three consecutive years, and
● An individual shall have Georgian residence permit OR Georgian source income of GEL25k per year.
Note regarding the first option - the time of actual stay in the territory of Georgia shall not include the time, during which a natural person stayed in Georgia:
- a) as a person having a diplomatic or consular status or as a family member of such person;
- b) as an employee of an international organisation acting under an international agreement of Georgia or as a person in the public service of a foreign country in Georgia or as a family member of such person, other than Georgian citizens;
- c) when moving from one foreign country to another via the territory of Georgia;
- d) for treatment or leisure.
